Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and Routes and Maps, LLC (“Routes & Maps,” “we,” “us”). They govern your access to and use of our route planning and optimization platform, including the web dispatcher portal (app.routesandmaps.com), the mobile driver app, and our APIs and related services (together, the “Service”).

Please read these Terms carefully. By creating an account, clicking to accept, or otherwise using the Service, you agree to be bound by them. If you do not agree, do not use the Service.

1. Acceptance of these Terms

By signing up for, accessing, or using the Service, you confirm that you have read, understood, and agree to these Terms and to our Privacy Policy, which is incorporated here by reference. If you are entering into these Terms on behalf of a company or other organization, you represent that you have authority to bind that organization, and “you” refers to that organization.

2. Eligibility and accounts

  • The Service is intended for business use by users who are at least 18 years old and able to form a binding contract.
  • You are responsible for the accuracy of the information you provide and for keeping it up to date.
  • You are responsible for safeguarding your login credentials and for all activity under your account. Notify us promptly at support@routesandmaps.com if you suspect unauthorized use.
  • Account owners may invite team members and assign roles (such as admin, dispatcher, driver, or viewer). The account owner is responsible for the acts and omissions of users they invite.

3. Subscriptions, trials, and billing

  • The Service is offered on a subscription basis. Your plan, pricing, billing period, and any usage-based charges (such as per-stop fees above your included allowance) are presented to you at signup and in your account.
  • Free trials. We may offer a free trial. Unless you cancel before the trial ends, your subscription may convert to a paid plan and you will be charged the applicable fees. Trial length and terms are shown when you start the trial.
  • Payment. Payments are processed by Stripe, our third-party payment processor. By providing a payment method, you authorize us (through Stripe) to charge the recurring subscription fees and any usage-based charges. We do not store your full card details.
  • Renewals. Subscriptions renew automatically at the end of each billing period at the then-current rates until cancelled.
  • Cancellation. You may cancel at any time from your account billing settings. Cancellation takes effect at the end of the current billing period; you retain access until then. Except where required by law, fees already paid are non-refundable.
  • Taxes. Fees are exclusive of taxes. You are responsible for any applicable sales, use, or similar taxes.
  • Changes to pricing. We may change our fees. We will give you reasonable advance notice of any increase that affects your subscription, and changes take effect on your next renewal.

4. Acceptable use

You agree not to:

  • Use the Service in violation of any law or regulation;
  • Upload or process data you do not have the right to use, or that infringes the rights of others;
  • Attempt to gain unauthorized access to the Service, other accounts, or our systems, or probe, scan, or test their vulnerability;
  • Interfere with or disrupt the Service, including by overloading, spamming, or sending malicious code;
  • Reverse engineer, decompile, or attempt to extract the source code of the Service, except where permitted by law;
  • Resell, sublicense, or make the Service available to third parties outside your organization without our written consent;
  • Use the Service to track or surveil individuals other than your own drivers in the course of their work, or in any way that violates privacy or labor laws.

We may suspend or limit access if we reasonably believe your use violates these Terms or poses a risk to the Service or other customers.

5. Your data and privacy

You retain ownership of the data you and your users submit to the Service (“Customer Data”), including routes, stops, addresses, and driver and vehicle records. You grant us a limited license to host, process, and use Customer Data solely to provide and improve the Service and as described in our Privacy Policy.

You are responsible for ensuring you have the necessary rights and consents to provide Customer Data to us, including data about your end customers and drivers. Our collection and use of personal information is described in the Privacy Policy.

6. Service availability and changes

  • We work to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free operation. The Service may be unavailable during maintenance, updates, or events beyond our control.
  • Route optimization, ETAs, and distance estimates are provided as planning aids and may rely on third-party data (such as mapping providers). They are not guaranteed to be accurate and should not be relied on as the sole basis for safety- or compliance-critical decisions.
  • We may add, change, or remove features over time. We will not make material reductions to core functionality of a paid plan during your billing period without notice.

7. Intellectual property

The Service, including its software, design, and content (excluding Customer Data), is owned by Routes & Maps and its licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to access and use the Service for your internal business purposes during your subscription. All rights not expressly granted are reserved.

8. Third-party services

The Service integrates with third-party providers (for example, Google Maps Platform, Stripe, and identity providers such as Google and Apple sign-in). Your use of those features may be subject to the third party’s own terms. We are not responsible for third-party services and do not control their availability or content.

9. Disclaimers

To the maximum extent permitted by law, the Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will meet your requirements or that route plans, ETAs, or optimizations will be accurate or complete.

10. Limitation of liability

To the maximum extent permitted by law, Routes & Maps will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of (or inability to use) the Service, even if we have been advised of the possibility of such damages.

Our total aggregate liability arising out of or relating to these Terms or the Service will not exceed the amounts you paid to us for the Service in the twelve (12) months immediately preceding the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

11. Indemnification

You agree to indemnify and hold harmless Routes & Maps and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your Customer Data, your use of the Service, or your violation of these Terms or applicable law.

12. Termination

  • You may stop using the Service and cancel your subscription at any time.
  • We may suspend or terminate your access if you materially breach these Terms, fail to pay fees when due, or if required by law.
  • On termination, your right to use the Service ends. We may delete Customer Data after a reasonable period, as described in our Privacy Policy. You can request an export of your data before termination.
  • Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive.

13. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service before they take effect. The “Last updated” date above reflects the latest revision. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

14. Governing law and disputes

These Terms are governed by the laws of [JURISDICTION — confirm with counsel], without regard to its conflict-of-laws rules. The parties agree that any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the courts located in [JURISDICTION — confirm with counsel], and each party consents to the personal jurisdiction of those courts.

15. Miscellaneous

  • These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the Service.
  • If any provision is found unenforceable, the remaining provisions remain in effect.
  • Our failure to enforce any right or provision is not a waiver of that right or provision.
  • You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
